Terms of Service

These Terms of Service govern your access to and use of websites, storefronts, social-media pages, communications, checkout services, products, and other services operated by ZXP Ventures LLC (collectively, the "Service"). In these Terms, "we," "us," and "our" refer to ZXP Ventures LLC.

By accessing the Service or placing an order, you agree to these Terms, our Privacy Policy, our Refund and Return Policy, and any additional terms shown at checkout. If you do not agree, do not use the Service.

You must be legally capable of entering into a binding agreement. If you have not reached the age of majority where you live, you may use the Service only with the involvement and permission of a parent or legal guardian.

You agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials or verification codes and for activity associated with your account.

We sell collectible LED lamps and related display products. These products are decorative consumer goods intended primarily for indoor display. They are not toys, primary room lighting, emergency lighting, or safety equipment.

We try to present product descriptions, dimensions, features, photographs, videos, colors, lighting effects, and availability accurately. Actual appearance may vary because of screen settings, ambient lighting, photography, software rendering, production changes, and ordinary manufacturing tolerances. Product packaging, controls, accessories, or minor design details may change without notice when the product's essential function is not materially reduced.

Dimensions and battery-runtime estimates are approximate unless expressly guaranteed. Brightness and runtime may vary with mode, charge level, temperature, age, and use.

Prices, promotions, availability, and product information may change without notice. Prices are shown in U.S. dollars unless stated otherwise. You are responsible for applicable taxes, shipping, and other charges disclosed at checkout.

An order confirmation acknowledges receipt of your order but does not guarantee acceptance. We may refuse, limit, or cancel an order because of suspected fraud, payment issues, inventory errors, pricing mistakes, quantity limits, inaccurate information, shipping restrictions, or suspected unauthorized resale. If we cancel an order after payment, we will refund the canceled amount to the original payment method.

You represent that you are authorized to use the payment method submitted and that your billing and shipping information is accurate.

Shipping and delivery dates are estimates unless expressly stated as guaranteed. We are not responsible for carrier delays, severe weather, customs, incorrect addresses, access restrictions, or events outside our reasonable control. You are responsible for providing a complete and accurate shipping address.

When a preorder, backorder, or other future shipment date is displayed, it reflects our good-faith estimate based on information available at the time. If we cannot ship within the represented time, or within the period otherwise required by applicable law, we will provide a delay notice and an opportunity to consent to the delay or cancel the unshipped order for a prompt refund.

Risk of loss and title pass as provided by applicable law and the shipping terms used for the order. Contact us promptly regarding a package that appears lost, damaged, or incorrectly delivered.

Returns, refunds, replacements, and exchanges are governed by our Refund and Return Policy, which is incorporated into these Terms. We may require an order number, photographs, video, return of the item, or other reasonable information before approving a resolution.

You agree to use the product only as intended and in accordance with included instructions and warnings. Without limiting those instructions:

• Use the lamp indoors in a dry, stable, and reasonably ventilated location.
• Keep it away from water, excessive moisture, open flames, high heat, and flammable materials.
• Use only a compatible charging cable, power source, and voltage.
• Do not cover the lamp while it is operating or charging.
• Do not open, puncture, crush, modify, or attempt to repair the lamp or its battery unless instructions expressly permit it.
• Stop using and unplug the product if it becomes unusually hot, emits an unusual odor, swells, leaks, sparks, or shows visible damage.
• Keep small parts, packaging, cables, and the product itself away from young children and pets. Adult supervision is required where appropriate.

You are responsible for determining whether the product is suitable for your intended placement and use. Misuse, unauthorized modification, incompatible charging equipment, or failure to follow instructions may damage the product and may void any remedy otherwise available.

The Service and its original content, including site design, photographs, graphics, videos, text, code, logos, and product presentation, are owned by us or used with permission and are protected by applicable intellectual-property laws. You may use the Service only for personal, non-commercial purposes and may not copy, scrape, reproduce, modify, distribute, resell, or exploit it without written permission.

Third-party names, characters, symbols, titles, logos, and trademarks belong to their respective owners. Unless expressly stated on the applicable product page, no reference to a third-party franchise or property should be understood as sponsorship, endorsement, affiliation, or licensing by that rights holder. Nothing in these Terms grants you or us ownership of third-party intellectual property.

You may submit reviews, ratings, comments, photographs, videos, or other content ("User Content"). You represent that your User Content is truthful, reflects a genuine experience where it describes product use, does not infringe another person's rights, and does not contain unlawful, deceptive, defamatory, obscene, or malicious material.

You retain ownership of your User Content. By submitting it, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, reproduce, edit for length or formatting, publish, display, distribute, and use it in connection with the Service and our marketing, subject to applicable law. We will not condition an incentive on a review expressing a particular positive or negative sentiment.

We may remove or decline to publish User Content, but we are not obligated to monitor all submissions.

You may not use the Service to violate law or another person's rights; commit fraud; submit false information; interfere with security or operation; introduce malware; scrape or access the Service through unauthorized automated means; impersonate another person; harass others; or purchase products for unauthorized resale.

The Service may use or link to third-party platforms, payment providers, carriers, applications, or websites. Independent third parties operate under their own terms and policies. We do not control and are not responsible for their separate services, content, availability, or privacy practices.

To the maximum extent permitted by law, the Service and products are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, except to the extent a warranty cannot lawfully be disclaimed.

We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components, or that every product will meet subjective expectations. This section does not limit any express written warranty or non-waivable consumer right.

To the maximum extent permitted by law, ZXP Ventures LLC and its owners, officers, employees, agents, affiliates, suppliers, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities arising from the Service or products.

To the maximum extent permitted by law, our total liability for a claim relating to a product or order will not exceed the amount you paid for the product giving rise to the claim. Some jurisdictions do not allow certain exclusions or limitations, so part of this section may not apply to you.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless ZXP Ventures LLC and its affiliates, personnel, suppliers, and service providers from claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Service, your violation of these Terms, your User Content, or your misuse or unauthorized modification of a product.

Our collection and use of personal information is described in our Privacy Policy. By using the Service, you acknowledge that policy.

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules, except where superseded by federal law or non-waivable consumer-protection law. Subject to any right you have to bring a qualifying matter in small-claims court or another venue required by law, disputes shall be brought in the state or federal courts located in North Carolina, and the parties consent to their jurisdiction.

We may update these Terms by posting a revised version with a new "Last Updated" date. Changes apply prospectively unless applicable law permits otherwise.

If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. These Terms, together with policies incorporated by reference and terms displayed at checkout, form the agreement between you and us concerning the Service.
